0 - Preface
0.1 - These Terms of Service (“Agreement”) are between Stellar Jay Electrical Services (“Stellar Jay”) and any client (“Customer”) to whom which have agreed to a scope of work outlined in an accepted estimate, work performed in a verbal agreement in an emergency capacity, or work performed by Stellar Jay in the capacity of a sub-contractor.
0.2 - Whereas, Stellar Jay and the Customer desire that Stellar Jay provide certain services and products as set forth specifically in an applicable Estimate (as defined below) or in verbal agreement in the event of emergency response work. In exchange, the Customer is willing to provide certain funds and payment for such work.
0.3 - Now, Therefore, in consideration of the mutual promises and covenants set forth herein, the receipt and sufficiency of which are acknowledged by both parties, the parties agree as follows:
1 - Scope of Work and Estimation
1.1 - Services
a - For the effective term of services, Stellar Jay shall provide services to the Customer as specifically agreed upon by the parties in the approved estimate (the Services), which will be incorporated herein (each an “Estimate”). Stellar Jay will perform the Services in accordance with the terms and conditions of this Agreement, in a good and workmanlike manner, and in accordance with industry standards.
1.2 - Proper Estimate
a - For an Estimate to be deemed proper, it must include the following:
i - Stellar Jay’s name and address
ii - Date of issuance and expiry
iii - Project address, including sub-units if applicable (Where the Services shall be provided, “Ship to”)
iv - Name of the individual, company, and/or entity that has requested Services and that will be receiving and paying invoices. (“Bill To”)
v - Line items that specify the types of services, types of materials, and quantities to be provided
vi - Any information that is necessary for the proper functioning of the Customer’s accounts payable system that the Customer reasonably requests. (“Purchase Orders”)
vii - Any additional information or supporting documentation that has been requested by the Customer (Insurance certificates, safety certifications, licensing requirements, etc.)
viii - Stellar Jay’s ESA/ECRA number as required by The Electrical Safety Authority
1.3 - Exclusion of Third Party Charges in Estimates
a - Stellar Jay maintains the right to be free of responsibility of the costs of third party agencies at the time of estimating in the event that such agencies do not provide a suitable estimate to Stellar Jay. These agencies include, but are not limited to:
i - The Electrical Safety Authority (ESA)
ii - E-Safe field inspection agency
iii - Hydro One Power Authority
iv - Hydro Ottawa Power Authority
v - Sub Contractors to Stellar Jay that have been hired at the request of the Client or on the Client’s behalf
b - Stellar Jay maintains the right to add up to a ten percent (10%) additional charge to amounts billed to Stellar Jay by any third party that will then be then billed to the Customer in a singular line item per instance. This includes, but is not limited to;
i - Permits
ii - Fees
iii - Fines
iv - Processing Charges
v - Any other charge incurred to Stellar Jay that would not have occurred if not providing services to the Client
1.4 - Accuracy of Estimates
a - The Customer agrees to provide Stellar Jay as much information as possible in a timely fashion to prepare an accurate estimate. The information required is as follows;
i - A detailed list of services and responsibilities that the Client would like Stellar Jay to provide
ii - Requirements or desired materials the Client would like to provide
iii - A list of materials that the Client would like to provide to Stellar Jay for use on the project
iv - A list of materials that require spec sheets to be provided by Stellar Jay for approval by inspection agencies, engineers, or architects.
v - Any spec sheets for materials provided by the Customer.
vi - Supplementary documentation including, but not limited to:
1 - Structural drawings.
2 - Electrical drawings.
3 - Architectural drawings.
4 - Panel, lighting, material, programming, and similar schedules.
5 - Cabinet drawings with measurements.
6 - Any other documentation that will clarify what is desired by the Customer.
vii - Prescribed time frames for project progression that includes contingencies for deadlines missed by either party.
b - Information not provided will be open to interpretation by Stellar Jay without repercussion from the Client;
i - Material selections will be made by Stellar Jay and listed on the Estimate. It is the responsibility of the Client to request alterations in writing.
ii - Should the Client request a change of special ordered material after it has been ordered, the Client is liable for the cost of the material or any restocking fees if return is permissible with that condition.
iii - Should the Client request a change to materials after they have been installed, the Client is liable for the cost of the materials and any additional charges to replace said materials.
iv - Installation locations of materials shall be installed as per Ontario Electrical Safety Code requirements or industry standard, at the discretion of Stellar Jay.
v - The Client shall be responsible for all delays incurred for materials changes, material installation locations, and all other delays as a result of not providing Stellar Jay with said information in an accurate and timely fashion.
c - Stellar Jay will provide an estimate in as accurate a fashion as the information provided will allow. Stellar Jay is not liable for the comparability of estimates provided to those of competitors and is under no obligation to change the format of estimates.
d - Payment schedules and purchase order requests made by the Client must be requested prior to the submission of estimate(s) from Stellar Jay. Requests after an estimate has been provided by Stellar Jay shall invalidate all previous estimates and new terms must be drafted and approved. Stellar Jay is not liable for any damages or delays as a result. Should no payment schedules be provided, Stellar Jay reserves the right to prescribe and enforce a payment schedule as per these Terms of Service.
e - Stellar Jay reserves the right to break a project into multiple estimates and have each estimate act as an individual agreement with an individual set of terms.
1.5 - Change Orders
a - For the purposes of this Agreement a “Change Order” means any amendment made to The Agreement through out the progression of the project. The parties agree that once a Change Order meets the following criteria, then it shall form an integral part of this Agreement:
i - Scope of change(s)
ii - Date of change(s)
iii - Cost adjustment for the changes. The charge shall be applied as a separate line item or indicate a quantity change of an existing line item
iv - Issuer of the change
v - Any applicable schedule changes if a time table was provided in the original estimate
vi - Be made in writing digitally
b - Stellar Jay will issue Change Orders in the form of an additional line item to the Estimate, as an addition to an issued invoice, or as a separate invoice.
c - Verbal changes must be followed up with a written request to be binding. Stellar Jay reserves the right to use a line item addition on an Estimate or Invoice to achieve this.
1.6 - Electrical Safety Authority (ESA) Inspections
a - Work requiring an ESA inspection shall be performed within the scope prescribed below.
i - Inspections shall be performed between the hours of 8:00AM and 4:30PM on the selected day.
ii - The inspector reserves the right to pass an inspection without a site visit or by other means they request.
iii - Access shall be made available to the inspector via means such as:
1 - Some one is on site between the hours of 8:00AM and 4:30PM on the selected day.
2 - A lock box or door code to which the code be provided to the inspector no later than 24 hours prior to the inspection date.
3 - A key be hidden on the premises to which it’s location is provided to the inspector no later than 24 hours prior to the inspection date.
4 - An unlocked door to which it’s location is provided to the inspector no later than 24 hours prior to the inspection date.
5 - Arrangements made with Stellar Jay to remain on the premises to grant access to the inspector. Stellar Jay shall charge eight (8) working hours for this service plus applicable taxes and shall not make reductions to the eight (8) hours should the waiting time be less than that.
iv - Inspections may occur at various stages of a project including, but not limited to:
1 - “Rough In”, exposed structural members with the electrical installation visible. Insulation, vapor barrier, drywall, or other finishes may not be installed until this inspection has passed.
2 - “Final”, all finishes have been installed and all electrical devices, fixtures, and equipment have been installed and labeled.
3 - “Trench”, where excavation is required, the trench shall be presented as requested by ESA and/or Hydro Ottawa/One
4 - “Service”, electrical service inspections require a complete electrical distribution system to be approved before connection authorization is provided
5 - “Connection Authorization”, is an approval provided by ESA to the electrical utility to allow the energization of electrical equipment
v - Installations must be complete to be deemed ready for inspection. For the purposes of Rough In inspections this includes, but is not limited to:
1 - All structural members must be installed and secured which supports electrical equipment.
2 - All electrical boxes that are required to be solidly installed, shall be, and all cables shall be properly supported as per OESC standards
3 - All wire splices in switch, junction, and receptacle boxes must be made
4 - Electrical installations shall be free from visual obstruction and shall be accessible without the demolition of structures or materials
vi - Installations must be complete to be deemed ready for inspection. For the purposes of Final inspections this includes, but is not limited to:
1 - All finished surfaces shall be complete should they have electrical equipment installed upon them
2 - All electrical devices, equipment, fixtures, and plates shall be installed and labeled where required
3 - All electrical devices shall be energized and ready for use or programming
4 - All electrical installations shall be made accessible and be free from obstructions
vii - Any incomplete installations that are delayed beyond the point of inspection shall be made safe. Stellar Jay reserves the right to charge for making incomplete installations safe for inspection and then charge again for performing the complete installation.
viii - Installations shall be deemed accessible if:
1 - Access shall be made with ladders or temporary stairs to locations that have no permanent means of access at the time of inspection. Said ladders or stairs shall meet the Ontario Occupational Health and Safety Standards.
2 - Rooms shall not be locked, barred, or contain any living organism that would obstruct access if it contains or provides access to electrical installations that require inspection.
3 - Clutter, debris, and storage shall be moved to provide access to electrical installations for inspection.
4 - Hazardous locations shall be identified and access made available where such an environment exists.
5 - Locations that require security clearances or escort shall have such provisions made and ready for the day of inspection.
ix - Failure to comply with ESA inspection requirements will result in the following repercussions:
1 - For no access to the inspection site, a fee equal to 50% of the permit cost shall be charged.
2 - For obstruction or incomplete assembly deficiencies, a fee equal to 75% of the permit cost shall be charged.
3 - For Customer incurred deficiencies where electrical installations have been altered, damaged, or removed; a fee equal to 200% of the permit cost shall be charged. An additional 15% of the permit cost shall be charged as a fee for every deficiency beyond the first.
4 - Fees shall be charged per occurrence.
x - Stellar Jay has the following responsibilities with regard to ESA:
1 - Application of permits for work performed by electricians and apprentices of Stellar Jay only. Applications may not be made on behalf of other contractors or other individuals.
2 - Alterations or additions to existing permits to reflect the new scope of work. The Customer is liable for any new ESA charges as a result.
3 - Scheduling of inspections.
4 - Updating the Customer as to status updates of permits.
5 - Provide a Certificate of Acceptance when the project is complete and full payment has been received from the Customer for the associated project.
xi - In the event of ESA issued deficiency or failed inspection:
1 - Deficiency in the workmanship of Stellar Jay shall be corrected within fifteen (15) days of Notice of Deficiency. The cost shall not be incurred upon the Customer.
2 - Deficiencies as a result of damage, alteration, or omitted information from the Customer shall be repaired once an Estimate for said repair is approved.
3 - Deficiencies addressed by ESA that are not part of the Agreement will be sent directly to the Customer or Property Owner. These are not the responsibility of Stellar Jay, however, the Customer may request Stellar Jay assess and estimate the corrections required for code compliance.
1.7 - Completion of Work
a - The Services shall be deemed complete when all labour, materials, and inspections have been provided in accordance with the applicable Estimate(s) and all associated Change Orders.

1.8 - Recycling and Disposal of Materials
a - Stellar Jay shall hold the following responsibilities for job site cleanliness:
i - For rough-in stages of renovations and new construction:
1 - Store tools and materials that remain on site in an orderly fashion.
2 -Remove all leftover packaging and debris from materials provided by Stellar Jay.
3 - Consolidate and set aside all leftover packaging and debris from Customer supplied materials.
4 - Any custodial duties included in an approved estimate.
ii - For finishing stages of any project:
1 - Store tools and materials that remain on site in an orderly fashion.
2 - Remove all leftover packaging and debris from materials provided by Stellar Jay.
3 - Consolidate and set aside all leftover packaging and debris from Customer supplied materials.
4 - Sweep or vacuum where dust and fine debris has been generated by Stellar Jay.
5 - Any custodial duties included in an approved estimate.
iii - Debris removed by Stellar Jay shall be disposed of:
1 - At the discretion of Stellar Jay in a legal fashion.
2 - At the expense of the Customer if the debris is hazardous in nature.
3 - Metals recycled from the debris disposed of by Stellar Jay will not set an expectation nor obligation of Stellar Jay to compensate the Customer for any recycling revenue generated.
4 - Equipment salvaged from the debris disposed of by Stellar Jay will not set an expectation nor obligation of Stellar Jay to compensate the Customer for any recycling revenue generated.
iv - Any debris or other materials removed in a demolition that the Customer wishes to retain shall identify such articles to Stellar Jay and specify what is to be done with such articles.
v - The Customer is responsible for all general custodial duties on site such as sweeping, debris removal, and disposal where multiple trades are working at the same time and the materials are not trade specific unless specific custodial duties have been otherwise delegated in an estimate.
2 - Payment
2.1 - Billing for the Services shall be due in accordance to the following pay schedules:
a - In accordance to a pay schedule included in the details of an approved Estimate complete with Purchase Order or other agreed upon information when requested.
b - Single Stage projects with a value up to and including $1000.00, including taxes, shall be billed once all Services have been provided.
c - Projects $1000.01 and more, including taxes, may be billed monthly up to 5% of the value of the Estimate each month. These payments may not exceed the amount of a future milestone.
d - Multi Stage projects with a value up to and including $5000.00 including taxes:
i - 20% of the Estimate amount for a Deposit once the estimate has been accepted.
ii - 55% of the Estimate amount for a Partial or Rough In installment once Rough In is complete. This amount will include any Change Orders.
iii - The open balance of the Estimate including all change orders once the Services have been provided.
e - Multi Stage projects with a value up to and including $5000.01 or more including taxes:
i - 30% of the Estimate amount for a Deposit once the estimate has been accepted.
ii - 50% of the Estimate amount for a Partial or Rough In installment once Rough In is complete. This amount will include any Change Orders.
iii - The open balance of the Estimate including all change orders once the Services have been provided.
2.2 - Payment is due upon receipt of a Proper Invoice as per the following schedule:
a - A proper invoice shall include:
i - The company name, address, HST number, and ESA/ECRA number for Stellar Jay
ii - Date of the invoice
iii - The period, milestone, or other contractual payment entitlement to which the invoice relates
iv - Address of the project receiving the Services in the “Ship To” field
v - Name and address of the Customer who is providing Payment to Stellar Jay for the Services in the “Bill To” field
vi - Any PO or other information required or requested by the Customer to allow their accounts payable to operate
vii - Descriptions and quantities of the materials and/or services provided
viii - Amount payable for the materials and/or services provided including tax amounts
xi - Payment terms and methods of payment
x - Any other information that may be prescribed
b - As per the terms in an approved Estimate.
c - As per the terms listed on the Invoice sent.
d - 28 days from the invoice date when Stellar Jay is acting in the capacity of a contractor
e - When Stellar Jay is acting in the capacity of a sub-contractor, payment is due 7 days after the contractor receives payment from their customer. The contractor has 28 days to collect from their customer.
f - Upon receipt of an invoice, the Customer has 7 days to contest payment in writing. Contest of payment must include a reason for the delayed payment. A contested payment does not forfeit obligation to pay, interest, fees, or any other obligations set out in this Agreement.
g - Notwithstanding the foregoing, Stellar Jay reserves the right but not the obligation to offer alternative payment arrangements. All such alternative payment arrangements shall be made in writing stipulating the milestones, amounts, special terms, and any contingencies. These new terms shall be affixed to the applicable Estimate and will form an integral part of this Agreement.
2.3 - Methods of payment include:
a - Visa, MasterCard, Discover, or Amex through Intuit QuickBooks Payment Platform available via the link provided in the invoice e-mail.
b - E-Transfer to info@stellarjayelectric.ca with the invoice number referenced in the memo section.
c - Cheque made payable to “Stellar Jay Electrical Services” and dated no later than the invoice due date.
d - Bank draft made payable to “Stellar Jay Electrical Services” and dated no later than the invoice due date.
e - Cash
2.4 - Late payments and fees are as follows:
a - Late payments are subject to an interest rate of 24% annually, billed monthly at 2%.
b - A 7 day grace period has been provided from the due date to allow processing time of last minute payments.
c - Interest will be a system generated charge.
d - Balances that are 90 days or more past due may be submitted for collections or legal action at the discretion of Stellar Jay. All legal and other fees, charges, interest, and costs incurred in collecting the outstanding amount will be added to the amount owing and be payable by the Customer.
e - Insufficient funds and bounced cheques shall have a $10.00 fee applied per occurrence.
f - Cheques that do not clear will have the invoice re-opened and any applicable interest applied retroactively.
g - Where Stellar Jay is operating in the capacity of a sub contractor. Stellar Jay reserves the right to pursue the client of a contractor to collect payment and does not assume liability for loss of income, legal or other fees, loss of work or reputation, violation of agreements set between the contractor and their client, our fouling of personal, professional, or political relationships with the customer or community.
3 - Health and Safety
3.1 - Right to Halt Work
a - Stellar Jay maintains the right to stop all work on the grounds of:
i - Incomplete structural assembly or agreed demolition/construction state (The job is not ready)
ii - The job site poses a health or safety risk as per Ontario Health and Safety regulations
iii - The job site is cluttered making access impossible or impractical for workers
iv - There is a balance past due on the account of the Customer. The outstanding account balance IS NOT limited to a single invoice, but rather, the sum of all open and unpaid invoices on the listed account for this Agreement.
v - An order issued by:
1 - the Electrical Safety Authority (ESA)
2 - Power Distribution Company (Hydro Ottawa/One)
3 - The City of Ottawa, Ministry of Labour, Ontario College of Trades (Or equivalent)
4 - Any other agency with authority over the site which work is being performed or has authority over the electrical trade.
3.2 - Exclusion of Work Not Associated With the Electrical Trade
a - Stellar Jay maintains the right to not perform work outside of the electrical trade which includes, but is not limited to:
i - Drywall/Plaster: installation, patching, or repair
ii - Painting, varnishing, or any other surface finishing
iii - Structural carpentry, mill or trim work, or cabinet modification
iv - Plumbing: installation of feeds, drains, venting, or appliances
v - HVAC: installation of fuel burning appliances or any connection of ventilation, fuel line, or appliance control circuit
vi - Excavation requiring:
1 - Heavy equipment
2 - Requiring a depth of more than 1 foot or length of greater than 10 feet
3 - Cutting into stone, concrete, asphalt, or similar materials
4 - Requiring a service locate by a third-party agency
vii - Installation of appliances. Stellar Jay will perform the electrical connection of appliances pertaining to other trades providing that:
1 - The appliance appears to be in good working condition
2 - The appliance conforms to CSA, ULC, or other recognized standards authority
3 - Connection of the appliance will not cause the risk of damage/harm to the unit, property, workers, or the general public
4 - There is a clear indication or provided literature to ensure proper connection, voltage/amperage requirements, and any other requirements stipulated by the manufacturer.
3.3 - Temporary Power Installations
a - Stellar Jay maintains the right to refuse temporary power installations if they are:
i - Not included in the estimate and a change order for time and material required is not approved
ii - The installation does not comply with the Ontario Electrical Safety code
iii - The installation does not conform to Ontario Occupational Health and Safety Regulations
4 - Relationship of Parties
4.1 - In the performance of all Services hereunder, Stellar Jay, its employees, agents and contractors, shall be deemed to be and shall be independent contractors and, as such, the Customer, its employees, agents and contractors, shall not be entitled to any benefits applicable to employees of Stellar Jay. Neither party is authorized or empowered to act for the other for any purpose and shall not on behalf of the other enter into any contract, warranty, and/or representation as to any matter. Neither shall be bound by the acts or conduct of the other.
5 - Non-Solicitation
5.1 - During the effective time of these Terms of Service, and for a period of (12) twelve months after the termination of these terms of service, the Customer shall not directly or indirectly hire any employee or subcontractor of Stellar Jay, nor shall the Customer solicit or induce or attempt to induce any persons, who were employees or subcontractors of Stellar Jay at the time of such termination of this Agreement, to terminate their employment or engagement with Stellar Jay.
6 - Termination
6.1 - Termination for Cause
a - Stellar Jay may, upon giving thirty (30) days written notice identifying specifically the basis for such notice, terminate an agreement for breach of a material term or condition of any agreement or the applicable Estimate, as the case may be, provided the Customer shall not have cured such breach within the thirty (30) day period. Notwithstanding the foregoing, if the breach by the Customer is not curable within such period, then Stellar Jay may terminate this Agreement immediately without prior notice.
b - The parties further agree that, in the event of a dispute or alleged breach, they will work together in good faith first to resolve the matter.
6.2 - Termination on Bankruptcy
a - Either party may terminate this Agreement if the other party becomes insolvent, files a petition in bankruptcy, has such a petition filed against it, determines to file a petition in bankruptcy, or receives notice of a third party’s intention to file an involuntary petition in bankruptcy and fails to rectify any such filing within sixty (60) days.

6.3 - Provisions which Operate Following Termination
a - Notwithstanding any termination of any agreement for any reason whatsoever, whether with or without cause, or upon the completion of any Estimate, the provisions of Articles 1, 2, 3, 4, 5 and such other provisions of this Agreement necessary to give efficacy thereto shall continue in full force and effect following any such termination.
7 - General Terms
7.1 - Entire Agreement
a - An agreement shall be comprised of; These terms of service, Estimate(s) and any Change Order(s) constitutes the entire agreement between the parties with respect to the subject matter hereof and cancels and supersedes any prior understandings and agreements between the parties hereto with respect thereto. There are no representations, warranties, forms, conditions, undertakings or collateral agreements, express implied or statutory between the parties other than as expressly set forth in an Agreement.
7.2 - Order of Precedence
a - The following order of precedence shall apply in the event of an inconsistency within the Agreement and its related documents, as applicable:
i - Change Order
ii - Estimate
iii - Terms of Service
7.3 - Amendments and Waivers
a - No amendment to an agreement shall be valid or binding unless set forth in writing and duly executed by both of the parties hereto. No waiver of any breach of any term or provision of any agreement shall be effective or binding unless made in writing and signed by the party purporting to give the same and, unless otherwise provided in the written waiver, shall be limited to the specific breach waived.
7.4 - Assignment
a - Stellar Jay may not assign or subcontract any of its rights or obligations under an agreement without the prior written consent of the Customer. Notwithstanding the foregoing, Stellar Jay may upon written notice to Customer, assign this an agreement and its obligations to a corporation controlled by the principal of Stellar Jay. Any such assignment shall not diminish any rights or duties that Stellar Jay or the Customer may have had prior to the effective date of assignment.
7.5 - Sever-ability
a - If any provision of this Agreement is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision or part thereof and the remaining part of such provision and all other provisions hereof shall continue in full force and effect.
7.6 - Governing Law
a - This Agreement shall be exclusively governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflicts of laws.
7.7 - Counterparts
a - This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original and all of which taken together shall be deemed to constitute one and the same instrument.
